Position Description:
An AmLaw 100 law firm is seeking a junior to mid-level associate to join its Intellectual Property and Technology Transactions practice in Silicon Valley. This role focuses on advising technology and life sciences companies on a range of commercial and IP-related transactions.
The position offers the opportunity to work on complex matters involving licensing, strategic transactions, and technology-driven agreements in a collaborative, cross-functional environment.
Key Responsibilities
- Draft and negotiate intellectual property and technology-related commercial agreements
- Support IP aspects of mergers, acquisitions, and other strategic transactions
- Advise on licensing, joint development, SaaS, technology transfer, and data-related agreements
- Collaborate with corporate, regulatory, and privacy teams
- Assist clients with structuring and managing IP assets in transactional contexts
Qualifications
- J.D. from an ABA-accredited law school
- 2–5 years of experience in IP or technology transactions
- Experience with commercial agreements (e.g., licensing, SaaS, technology agreements)
- Exposure to M&A or strategic transactions preferred
- Active U.S. bar admission (California preferred)
- Strong drafting, negotiation, and communication skills
Preferred Background (Life Sciences)
Candidates should have either:
Education in a related field, such as:
Biology, Biochemistry, Chemistry, Biomedical Engineering, Bioengineering, Pharmacology, Molecular Biology, or similar
OR relevant professional experience, including:
- Work on biotechnology, pharmaceutical, or life sciences transactions
- Clinical research or technology transfer agreements
- Licensing involving therapeutics, biologics, diagnostics, or digital health

- This role is intended for candidates with transactional experience; candidates with exclusively litigation or patent prosecution backgrounds may not be the best fit.
Pay: $310,000.00 - $390,000.00 per year
